Types of Activities LLC

When creating a legal entity, you need to determine what it will do. Legal regulation of the activities of the LLC is carried out according to the All-Russian Classifier of Economic Activities (OKVED), which provides for the activities of the LLC.

A limited liability company is a company established by one person or several, the authorized capital in which shares are divided, the participants of which do not meet the obligations of the enterprise and risk only a loss, within the value of the contribution made.

Economic activity is understood as a production process aimed at manufacturing products or providing a certain type of services. Its main features are: the production process, the costs of its implementation, production and services. It should be remembered that in the ida of economic activity LLC is divided into main, secondary and auxiliary.

In the basic form, most of the gross value added is created. A secondary kind is any other (ie, not the main) activity in creating goods and providing services. The products of these two types are usually designed to be marketed to a third party.

Auxiliary activities are performed to ensure or facilitate the production of products and services for sale on the side.

The statute of the LLC contains information on the types of its activities. Such information can be generalized and specific. The first assumes an expanded list of species. Newly created legal entities, when registering, indicate in the application for state registration a more specific type of activity. The body that produces the state registration, appropriates the type of activity ooo, and then sends information about this to the state statistics bodies from the Unified State Register of Legal Entities for registration.

Each activity according to OKVED is assigned a code. OKVED is divided into sections marked with Latin letters, which include production, provision of services, retail and wholesale trade, and other activities. The sections, in turn, are subdivided into groupings, which are marked with numbers. When entering the codes in the application for state registration and the constituent documents, it is recommended to specify the groups marked with three or more digits.

When creating a limited liability company, it is impossible to tell exactly in what volumes the production of goods and services will be made, but it is possible to determine what the society will be doing in a larger volume. Therefore, it is necessary to indicate this type of activity ooo, which will be the main one. In the item "Other types of activities", you need to specify those activities of ooo, which you can later do. In this case, you can specify the types of activities of the company, even diametrically opposed to the main one. When changing the main type of activity, you need to send a letter to the State Statistics Committee with the request to assign a different type of activity with the code.

The right to apply for registration of changes is assigned to the heads of a limited liability company. The signature of the manager is certified by a notary. At the same time, the latter need to provide a number of documents, namely:

1. Articles of Association;

2. certificate of assignment of the main state. Registration number ;

3. certificate of identification. Taxpayer numbers;

4. certificates of amendments to the constituent documents;

5. decision on the establishment of LLC;

6. an extract from the Unified State Register of Legal Entities;

7. codes of statistics;

8. The protocol of making changes in the Unified State Register of Legal Entities, which passed the registration procedure in the Tax Inspection;

9. order of appointment;

10. photocopy of the passport of the head of the organization.
